Rare Earths Americas kicks off IPO roadshow as company targets NYSE American listing

Rare Earths Americas launched its initial public offering on April 28, 2026, in Manchester, Ga., setting the stage for a new public listing tied to its heavy rare earths portfolio in the United States and Brazil. Rare Earths Americas is offering about 2. 8 million shares of common stock, with an expected price range of $17. 00 to $19. 00 per share. The stock is intended to list on NYSE American under the ticker symbol REA.
Rare Earths Americas opens offering for heavy rare earths projects
all shares in the offering are being sold by Rare Earths Americas itself, not by outside holders. Underwriters would also have a 30-day option to buy up to roughly 0. 4 million additional shares at the public offering price, less underwriting discounts.
Rare Earths Americas said it plans to use net proceeds to support land acquisition and option payments, drilling, metallurgical test work, permitting, and SK-1300 technical report summary preparation at the Shiloh Project. The company also said funds may go toward exploration, evaluation, land consolidation, metallurgy, engineering, and permitting studies at the Alpha and Constellation Projects.
Any remaining proceeds may be used to evaluate non-material exploration projects, including Homer and Liberty Peak, along with working capital and other general corporate purposes. Rare Earths Americas described itself as an exploration-stage company focused on high-grade heavy rare earth mineral assets.
Rare Earths Americas and the road to market
The proposed offering is being led by Cantor as lead book-running manager, with Stifel serving as book-running manager. Canaccord Genuity and B. Riley Securities are acting as co-managers.
Rare Earths Americas said a registration statement on Form S-1, including a prospectus, has been filed with the U. S. Securities and Exchange Commission but has not yet become effective. That means the securities cannot be sold and offers cannot be accepted until the registration statement becomes effective.
Rare Earths Americas also said the proposed offering will be made only by means of a prospectus. The company added that this press release does not constitute an offer to sell or a solicitation of an offer to buy the securities.
